1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of StellarCalls websites, applications, and related services (the "Service"). These Terms are provided in English only. By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of yourself or the organization you represent. If you do not agree, do not use the Service.

2. The Service

StellarCalls provides tools for real-time transcription, AI-assisted notes and summaries, chat, translation and interpreter features, a meeting bot that can join video calls on supported platforms, email follow-up summaries, session management, sharing, and related functionality. Features may vary by plan. We may modify, suspend, or discontinue parts of the Service with reasonable notice where appropriate.

3. Eligibility and accounts

You must be able to form a binding contract in your jurisdiction. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree to use the Service only in compliance with applicable laws and these Terms. Without limitation, you must not:

  • NSFW content. You may not use the Service to create, process, or distribute any NSFW (not safe for work) content.
  • Unlawful purposes. You may not use the Service for any illegal purpose or in furtherance of crimes, fraud, harassment, stalking, threats, hate speech, terrorism, or violations of intellectual property or privacy rights.
  • Interfere with or disrupt the Service, other users, or underlying networks; attempt unauthorized access; or scrape or overload our systems except as permitted by API documentation we provide.
  • Upload malware, attempt to bypass security or usage limits, or reverse engineer the Service except where applicable law forbids this restriction.
  • Misrepresent your identity or affiliation, or use the Service to send spam or unsolicited bulk communications.

We may investigate violations and may remove content, suspend or terminate accounts, or cooperate with law enforcement when we believe it is necessary to protect users or comply with law.

5. Your content

You retain rights to content you submit ("User Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and create derivative outputs (such as transcripts, summaries, and AI responses) solely as needed to provide and improve the Service. You represent that you have the rights needed to grant this license and that your User Content does not violate these Terms or third-party rights.

You are responsible for obtaining any consents required to record or transcribe other people, including under wiretap, employment, or privacy laws in your jurisdiction. This includes obtaining consent from meeting participants before using the Meeting Bot feature to join and transcribe a call. You are also responsible for ensuring you have permission to send follow-up emails to the recipients you specify.

6. AI-generated output

AI features may produce inaccurate, incomplete, or inappropriate results. You should not rely on AI output as professional, legal, medical, or financial advice. You are responsible for reviewing and validating outputs before use.

7. Subscriptions and fees

Paid plans, if offered, are billed through our payment processor (for example, Stripe). Fees are as displayed at checkout unless otherwise agreed. Subscriptions may renew automatically until cancelled in accordance with the cancellation process we provide. Taxes may apply. Except where required by law, payments are non-refundable or refundable only as stated in our refund policy at the time of purchase.

8. Third-party services

The Service integrates with third-party providers (such as hosting, authentication, speech recognition, AI models, meeting bot services, email delivery, and payments). Your use of those integrations is also subject to the third parties' terms and policies. We are not responsible for third-party services we do not control.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STELLARCALLS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnity

You will defend and indemnify StellarCalls and its affiliates, officers, and employees against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we need to protect the Service or other users. Provisions that by their nature should survive will survive termination (including ownership, disclaimers, limitations of liability, and indemnity).

13. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding conflict-of-law rules. The courts located in Ontario, Canada have exclusive jurisdiction over any disputes arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If changes are material, we may provide additional notice (such as email or an in-app message). Continued use after the effective date constitutes acceptance of the updated Terms.

15. Miscellaneous

These Terms constitute the entire agreement between you and StellarCalls regarding the Service and supersede prior agreements on this subject. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
